Terms of Service

These Terms of Service ("Terms") form a legal agreement between you and NavTech Solutions LLC, a California limited liability company ("PhantomProse," "we," or "us"), and govern your access to and use of the PhantomProse website, application, and related services (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service you represent that you meet this requirement and have the legal authority to enter into this agreement.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at aman@navani.net if you suspect unauthorized access.

You must provide accurate, complete information when creating an account and keep it up to date.

You agree not to:

• Upload, generate, or distribute content that is unlawful, defamatory, infringing, harassing, hateful, or otherwise harmful.
• Upload content you don't have the right to share, including client documents protected by NDA without proper redaction.
• Scrape, copy, or systematically extract content from the Service beyond your own account's data.
• Reverse-engineer, decompile, or attempt to derive source code or model weights from the Service.
• Use the Service to generate content for illegal purposes, including fraud, impersonation, or evading sanctions.
• Resell, sublicense, or otherwise make the Service available to third parties outside your organization.
• Probe, scan, or test the vulnerability of the Service without our written permission, except via responsible disclosure to aman@navani.net.
• Bypass rate limits, plan limits, or other technical restrictions.
• Use automated systems to create accounts or place subscription charges, except where explicitly authorized.

We may suspend or terminate accounts that violate these rules, immediately and without notice when violations are severe.

You retain ownership of all content you upload, brief, generate, or edit on the Service ("Your Content").

You grant us a limited, non-exclusive license to host, store, transmit, and process Your Content solely to operate the Service for you — including transmitting your brief and excerpts of your knowledge-library documents to our AI sub-processor (currently OpenAI) to generate drafts on your behalf. Knowledge-library documents are sent to the AI as voice/style references only; the AI is instructed not to copy facts, names, or specifics from them into generated drafts. The brief you submit for each draft is the only source of factual content in that draft's output.

We do not use Your Content to train AI models. We do not sell or share Your Content with third parties except as needed to operate the Service.

PhantomProse uses third-party large language models to generate drafts. AI-generated output is created algorithmically and:

• May contain factual errors, fabricated citations, or misrepresentations.
• Must be reviewed by a qualified person before being sent to a client, vendor, or counterparty.
• Should not be relied upon as legal, financial, medical, or professional advice.

You are solely responsible for reviewing, editing, and approving any draft before transmitting it externally. PhantomProse provides first drafts, not finished documents.

Plans

The Service is offered as a one-time Single-draft purchase, an Annual subscription, and an optional monthly Marketplace add-on. Plan details, prices, and included usage limits are described on the pricing page and may change with notice.

Billing and renewal

Annual subscriptions and the Marketplace add-on auto-renew on their respective billing cycles. You authorize us, through our payment processor (Stripe), to charge your payment method on each renewal date until you cancel. Single-draft purchases are one-time charges and do not renew.

Cancellation

You can cancel at any time through the in-app billing portal. Cancellation takes effect at the end of the current billing period; you continue to have access through the period you have paid for.

Refunds

Subscriptions: Full refunds are available within 7 days of your first payment on a subscription, only if no AI generations have been used during that billing period. Once any AI generation has been run on a subscription, the payment is non-refundable because we incur compute costs at generation time.

Renewals: Subsequent renewal payments are non-refundable. Cancel before your next renewal date to avoid further charges; access continues through the paid period.

Single-draft credits: Single-draft purchases grant one generation credit. Unused credits are refundable within 7 days of purchase. Once a credit has been consumed by running a generation, the purchase is non-refundable because we incur compute costs at generation time.

We reserve the right to deny refund requests we believe are fraudulent or abusive, including chargebacks made without first attempting to resolve issues with us directly.

Taxes

Prices are exclusive of taxes. You are responsible for any sales, use, VAT, or similar taxes that apply to your purchase.

Disputed charges

If you believe a charge is incorrect, contact us at aman@navani.net before filing a chargeback. We will work in good faith to resolve the issue quickly.

Each plan has stated usage limits (generations per month, documents uploaded). We may temporarily throttle or suspend access if usage appears abusive — e.g., automated mass generation, scripted upload loops, or activity that materially harms other users' performance.

We work hard to keep the Service available, but it is provided "as is" and "as available." We do not guarantee uninterrupted access. Planned maintenance, third-party outages (Supabase, Vercel, OpenAI, Stripe), or unexpected failures may make the Service temporarily unavailable.

The Service, including its design, code, branding, copy, and documentation, is owned by PhantomProse and protected by copyright and other intellectual-property laws. These Terms do not grant you any right to use our trademarks or trade dress.

You may terminate your account at any time by cancelling your subscription and emailing aman@navani.net to request data deletion.

We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or use the Service in a way that creates legal, security, or operational risk for us or other users.

On termination, your right to use the Service ends. Sections that by their nature should survive (ownership, warranty disclaimers, limitation of liability, indemnification, dispute resolution) will continue to apply.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

AI-GENERATED OUTPUT MAY CONTAIN ERRORS. YOU ARE RESPONSIBLE FOR REVIEW AND VERIFICATION BEFORE RELYING ON OR DISTRIBUTING ANY DRAFT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PHANTOMPROSE, ITS OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify and hold harmless PhantomProse and its officers, members, employees, and agents from any claim, demand, or damages arising out of (a) Your Content, (b) your use of the Service in violation of these Terms, or (c) your violation of any third-party right, including intellectual-property and privacy rights.

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in California, and you and PhantomProse consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app before the changes take effect. The "Last updated" date above reflects the most recent revision. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

These Terms (together with our Privacy Policy) constitute the entire agreement between you and PhantomProse regarding the Service. If any provision is found unenforceable, the rest will remain in full effect. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them as part of a corporate reorganization or sale.
